Provider Agreement

This Provider Agreement ("Agreement") governs your use of the Stillway platform as a healthcare service provider ("Provider," "you," or "your"). By completing registration as a Provider, you agree to this Agreement in addition to our general Terms of Service.
1. Provider Account
1.1 Eligibility
To register as a Provider, you must:
- Be a licensed or certified professional qualified to deliver the services you offer through Stillway.
- Maintain all required professional licenses and certifications in good standing in your jurisdiction.
- Be at least 18 years of age.
- Have legal authority to enter into this Agreement on behalf of yourself or your organization.
1.2 Verification
Stillway reserves the right to verify your credentials and professional qualifications at any time. You agree to provide documentation of your licenses or certifications upon request. Failure to provide documentation or misrepresentation of qualifications may result in immediate account termination.
1.3 Account Information
You agree to maintain accurate and current information in your Provider profile, including your name (or business name), contact information, service descriptions, pricing, availability, and location.
2. Services You Offer
2.1 Service Listings
You are responsible for accurately describing the services you offer, including:
- Service type and description.
- Duration and pricing.
- Applicable policies (cancellation, late arrival, no-show, etc.).
- Contraindications or eligibility requirements.
2.2 Scope of Practice
You represent and warrant that all services you offer through Stillway are within your scope of practice and professional licensure. You are solely responsible for your professional conduct and the quality of services provided.
2.3 No Medical Claims
Unless you are a licensed medical provider operating within your legal scope, you may not make medical claims in your service listings or communications with patients.
3. Availability and Bookings
3.1 Availability Management
You are responsible for keeping your availability calendar accurate and current. Stillway will use your availability settings to display bookable slots to patients.
3.2 Confirming Bookings
By default, bookings confirmed through Stillway are binding. You agree to honor confirmed appointments unless you cancel with reasonable advance notice.
3.3 Provider Cancellations
If you need to cancel a confirmed appointment, you must notify the patient as early as possible. Repeated last-minute cancellations may result in suspension of your account.
4. Fees and Payments
4.1 Platform Fee
Stillway charges a platform fee on each completed appointment facilitated through our platform. The fee schedule is provided in your account dashboard and may be updated with 30 days' notice.
4.2 Payment Collection
Stillway may collect appointment payments from patients on your behalf through our payment processor (Stripe). Net proceeds (minus the platform fee) will be remitted to your connected Stripe account within the standard payout schedule.
4.3 Disputes
Payment disputes initiated by patients are handled in accordance with Stripe's dispute resolution process. Stillway may deduct disputed amounts from future payouts pending resolution.
5. Provider Conduct
You agree to:
- Treat all patients with respect and professionalism.
- Protect patient privacy in accordance with applicable law and Stillway's Data Processing Agreement.
- Not discriminate against patients on the basis of race, color, religion, sex, national origin, disability, or any other protected characteristic.
- Not solicit patients to book services outside the Stillway platform during the term of this Agreement and for 12 months following termination (to the extent permitted by law).
6. Content and Communications
6.1 Provider Content
You retain ownership of content you provide (bios, photos, service descriptions). By submitting content, you grant Stillway a license to use it on our platform and in marketing materials.
6.2 Patient Communications
Communications with patients must be professional and relevant to services booked. You may not use Stillway's messaging tools to send unsolicited marketing or spam.
7. Compliance
You are responsible for:
- Compliance with all applicable laws and regulations governing your profession and services.
- Maintaining required insurance coverage (professional liability, etc.).
- Proper handling of any health information you receive, including compliance with HIPAA where applicable.
8. Indemnification
You agree to indemnify, defend, and hold harmless Stillway and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from:
- Your provision of services to patients.
- Your violation of this Agreement or applicable law.
- Your professional conduct or malpractice.
- Your misrepresentation of credentials or scope of practice.
9. Term and Termination
9.1 Term
This Agreement commences upon your registration as a Provider and continues until terminated.
9.2 Termination by Provider
You may terminate this Agreement at any time by providing 30 days' written notice to support@stillway.ai and closing your account.
9.3 Termination by Stillway
Stillway may suspend or terminate your account immediately if you: violate this Agreement or our Terms of Service; misrepresent your credentials; engage in conduct harmful to patients; or fail to pay fees owed.
9.4 Effect of Termination
Upon termination, your access to the platform ends. Stillway will fulfill any confirmed patient appointments booked before the termination notice, and you agree to honor those appointments.
10. Modifications
Stillway may modify this Agreement with 30 days' advance notice by email. Continued use of the platform after the effective date constitutes acceptance of the modified Agreement.
